Terms of Service

The rules governing Embedr accounts, subscriptions, content, AI training, project sharing, and responsibility.

The agreement in plain language

  • You keep ownership of your projects and intellectual property.
  • Free and Hobby require a license allowing eligible project and AI content to improve Embedr and train Embedr-owned AI models.
  • Pro AI request bodies are not logged or trained on, private Pro cloud projects are protected from training, and Pro content is treated as confidential.
  • Public projects are training-eligible and may be featured by Embedr. Private invitation-only sharing does not make a Pro project training-eligible.
  • AI and engineering outputs must be independently reviewed, tested, and validated by the user before use.

Agreement, Eligibility, and Authority

These Terms form a binding agreement between Promptlabs Private Limited, operating as Embedr, and the person or organization using the service. By creating an account, purchasing a plan, or using Embedr, you agree to these Terms and acknowledge the Privacy Policy.

  • You must be at least 18 years old.
  • If you use Embedr for a company or other organization, you represent that you have authority to bind that organization. Pro may be purchased for a company, but it does not include enterprise features, service levels, or enterprise contractual commitments unless separately agreed in writing.
  • You must provide accurate account and billing information, protect account credentials, and promptly notify Embedr of unauthorized access.

The Service and Your License to Use It

Subject to these Terms and payment of applicable fees, Embedr grants you a limited, non-exclusive, non-transferable, revocable license to use the application, cloud service, documentation, models, interfaces, and related Embedr materials for your own internal, professional, educational, or commercial work.

Embedr and its licensors retain ownership of the platform, software, documentation, branding, service-generated infrastructure, and other Embedr materials. Open-source and third-party components remain subject to their respective licenses.

Your Content and Intellectual Property

As between you and Embedr, you or your licensors retain all right, title, and interest in your prompts, source code, schematics, PCB layouts, project files, documents, images, data, and other material submitted to the service (“User Content”). Embedr does not acquire ownership of User Content.

You represent that you have the rights and permissions needed to submit User Content and to grant the licenses described in these Terms.

Operational License

You grant Embedr a worldwide, non-exclusive, royalty-free license to host, reproduce, process, transmit, format, and technically modify User Content only as needed to operate, secure, support, and provide the service. Embedr may sublicense these rights only to providers and contractors acting for Embedr.

This operational license lasts while the content remains stored or processed by the service, including a backup deletion period of up to 30 days and any longer retention legally required.

Free and Hobby Training License

Free and Hobby are mandatory training-enabled plans. For eligible content, you grant Embedr a worldwide, non-exclusive, royalty-free license, for the duration of the applicable intellectual-property rights, to use, reproduce, analyze, modify, create training and evaluation materials from, and otherwise process that content to evaluate, improve, and train Embedr-owned AI systems.

  • Eligible content includes cloud project files, prompts, code, project context, tool results, AI responses, and other AI traces.
  • Embedr de-identifies eligible content before training use, does not sell it, and does not permit third-party model providers to train their general models on it.
  • Authorized employees and contractors may review de-identified samples for labeling, evaluation, debugging, safety, or quality.
  • After account or project deletion, personal data and active cloud copies are deleted under the Privacy Policy, but de-identified training data, AI traces, evaluation artifacts, and model improvements may be retained indefinitely.
  • This training license survives deletion or termination only for the de-identified materials and improvements described above.

Pro Protection and Confidentiality

  • Pro AI request bodies, including prompts, code, context, tool results, and output bodies, are not logged or used for training or product improvement.
  • Pro session recording is disabled. Limited non-content metadata may be retained for billing, security, abuse prevention, reliability, and legal compliance.
  • Private Pro cloud project files are stored until deleted but are not training-eligible while Pro remains active.
  • Embedr will protect private Pro User Content as confidential information, use it only to provide and support the service, and disclose it only to necessary providers, people authorized by the customer, or as legally required.
  • Confidentiality does not apply to information that is public without breach, independently developed without use of the confidential information, lawfully obtained without restriction, or approved for release.

Plan Expiration and Training Eligibility

  • Embedr will provide at least seven days’ notice before a scheduled Pro expiration. A failed payment receives a seven-day grace period.
  • Pro protections continue until Pro actually expires. After the account moves to Free, all cloud projects remaining in the account, including projects created during Pro, become training-eligible.
  • You must delete any project you do not want to become training-eligible before Pro expires.
  • AI request bodies processed while Pro was active do not become retroactively eligible because they were not retained.

Sharing, Publishing, Remixing, and Promotion

  • Sharing a project only with specific invited people does not make a protected Pro project training-eligible.
  • Publishing a project to the public makes it training-eligible regardless of plan. While public, you grant Embedr a worldwide, non-exclusive, royalty-free license to host, display, distribute, index, promote, and create previews of the project.
  • Embedr may feature public projects with attribution in galleries, newsletters, social media, and other marketing.
  • Unpublishing or deleting removes the public copy and ends future promotional use. Existing social posts, newsletters, archived campaigns, and de-identified training artifacts may remain.
  • Other users may copy or remix a public project only when you enable remixing and select a license permitting it. Their use is governed by your selected license. Without a selected license, all rights remain reserved.

AI Outputs

As between you and Embedr, and to the extent rights can legally be granted, you own Embedr’s interest in outputs generated specifically for you. Embedr assigns to you any rights it may have in those outputs, subject to third-party rights and licenses.

  • Outputs may be inaccurate, incomplete, unsafe, non-functional, or similar to outputs provided to other users.
  • You are responsible for reviewing outputs and determining whether they infringe third-party rights or comply with applicable licenses, standards, and laws.
  • Embedr does not guarantee that any output is eligible for copyright, patent, trade-secret, or other protection.

Engineering and Safety Responsibility

Embedr may be used for safety-critical or high-risk work, but Embedr does not certify or approve any design or output for such use. You are solely responsible for independent engineering review, simulation, testing, validation, regulatory compliance, manufacturing checks, and safe deployment.

  • This responsibility applies to hardware, firmware, schematics, PCB layouts, component selections, generated code, manufacturing files, and AI recommendations.
  • You must use qualified human review and appropriate testing before relying on Embedr for medical, automotive, industrial, power, infrastructure, weapons, emergency, or other safety-critical systems.

Plans, Credits, Billing, and Renewal

  • The price, billing period, included credit, overage terms, currency, and plan features shown at checkout form part of your order.
  • Paid plans renew automatically until cancelled. Cancellation stops future renewal and paid access continues until the current billing period ends unless an immediate deletion or refund arrangement states otherwise.
  • Included credits are consumed before enabled pay-as-you-go usage, have no independent cash value, are non-transferable, and reset according to the applicable billing cycle.
  • Usage charges may reflect model-provider cost, applicable Embedr fees, currency conversion, and taxes as disclosed at checkout or in the billing interface.
  • Failed payments may result in a grace period, downgrade, suspension, or cancellation.

Refunds

Refunds for Hobby and Pro are discretionary and may be granted at any time. The maximum refund is the amount paid for the relevant purchase minus the dollar value of AI credits already consumed, with the result never below zero. Consumed usage-based overages are not refundable. Enterprise refunds are governed by the applicable enterprise agreement.

Acceptable Use

  • Do not use Embedr unlawfully, infringe intellectual-property or privacy rights, upload content you lack permission to use, distribute malware, steal credentials, attack systems, or facilitate fraud or abuse.
  • Do not bypass quotas, billing, access controls, safety controls, or plan restrictions; scrape the service at unreasonable scale; interfere with service operation; or falsely represent output as independently certified by Embedr.
  • Do not reverse engineer proprietary portions of the application except to the limited extent applicable law expressly permits despite this restriction.
  • Embedr may investigate violations and remove content, restrict sharing, suspend features, or terminate accounts where reasonably necessary to protect users, the service, or third parties.

Support, Feedback, and Communications

  • Support tickets, contact messages, bug reports, and feedback attachments are used for internal support and company operations and are not AI training content.
  • If you voluntarily provide product ideas or suggestions, you grant Embedr a worldwide, perpetual, irrevocable, non-exclusive, royalty-free license to use those ideas without restriction or compensation, provided this does not transfer ownership of project files or confidential Pro content.
  • Users are enrolled in marketing email by default and may unsubscribe using the one-click link in each marketing email. Transactional account, billing, security, and service emails remain enabled.

Availability, Changes, Suspension, and Deletion

  • Models, providers, features, limits, integrations, and service availability may change. Embedr will provide notice where a change materially affects a paid commitment.
  • Cloud projects remain accessible after a paid plan ends unless the user deletes them; plans primarily govern credits, model access, and data treatment rather than basic manual access.
  • Self-service account deletion is scheduled for the end of the current paid billing period. Support may process immediate deletion on request.
  • Embedr may suspend or terminate access for serious or repeated violations, legal requirements, security risks, non-payment, or harm to the service or others.

Disclaimers

To the fullest extent permitted by law, Embedr is provided “as is” and “as available.” Embedr disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and error-free operation. Nothing in these Terms excludes warranties or consumer rights that cannot legally be excluded.

Limitation of Liability

To the fullest extent permitted by law, Embedr and Promptlabs will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss; loss of profits, revenue, data, goodwill, business opportunity, or production; hardware damage; manufacturing loss; or the cost of substitute services.

The total aggregate liability of Embedr and Promptlabs arising from the service or these Terms will not exceed the amount paid by the customer for the current billing period in which the event giving rise to liability occurred. For a Free user, no subscription fees were paid for that billing period.

These limitations do not apply where liability cannot legally be limited, including liability resulting from fraud, willful misconduct, or other non-excludable obligations.

Indemnity

To the extent permitted by law, you will defend and indemnify Embedr and Promptlabs against third-party claims arising from your unlawful use of the service, User Content that violates another person’s rights, your published or remixed projects, or your deployment of unverified engineering output. This obligation does not apply to the extent a claim was caused by Embedr’s breach of these Terms.

Governing Law and Disputes

  • These Terms are governed by Indian law, without overriding mandatory consumer protections that apply in the user’s place of residence.
  • The parties will attempt good-faith resolution and mediation for 30 days before litigation, except for urgent injunctive relief, account or data-protection complaints, payment-provider remedies, or rights that cannot lawfully be delayed.
  • Subject to mandatory law, courts in Delhi, India have jurisdiction.

Changes and General Terms

  • Material changes will be communicated through the service, by email, or both. Expanded training rights will not be applied retroactively to content protected by Pro while Pro was active.
  • If part of these Terms is unenforceable, the remainder continues in effect. Failure to enforce a provision is not a waiver.
  • You may not transfer your account or these Terms without Embedr’s consent. Embedr may assign these Terms in connection with a reorganization, financing, merger, acquisition, or sale of the service, subject to the same applicable data commitments.
  • These Terms, the Privacy Policy, the applicable order, and any separately signed agreement constitute the agreement for the service. A separately signed enterprise agreement controls over conflicting standard terms.
